Terms and Conditions

1. Agreement

These Terms and Conditions are an agreement between you and Visibl Holdings Limited, a Delaware corporation (“Visibl,” “we,” “us,” or “our”). They apply when you access or use Allmodels, including allmodels.io and its APIs (the “Service”).

By creating an account or using the Service, you agree to these terms. If you use the Service for a business or other organization, you confirm that you have authority to accept these terms for that organization. The organization is responsible for everyone who uses its account.

2. The Service

Allmodels standardizes AI model requests, routes them to third-party providers, and returns the providers’ results in a standard format. Providers and models may be added, changed, or removed at any time.

Third-party providers operate independently from Visibl. Their services, outputs, availability, and data practices may be subject to their own terms and policies. You are responsible for complying with any provider terms that apply to your use.

3. Accounts

You must be at least 18 years old to create an account. You must provide an email address and keep your account information accurate. You are responsible for activity under your account and for keeping your login details and API keys secure.

Tell us promptly if you believe your account or API key has been compromised. We may suspend or close accounts, revoke API keys, or limit access when reasonably necessary to protect the Service, enforce these terms, or comply with law.

4. Your requests and results

You are responsible for the requests, prompts, files, and other inputs you send through the Service. You confirm that you have the rights and permissions needed to submit them. You give us permission to process and transmit your inputs as needed to provide and protect the Service.

Results come from third-party providers. Provider terms may affect your rights to use those results. You are responsible for reviewing results and deciding whether they are accurate, lawful, and appropriate for your use. Do not rely on AI results as a substitute for qualified professional advice.

5. Credits, pricing, and refunds

The Service is generally paid for using credits. We may also provide free or promotional credits. Credits are not cash, are not transferable, and cannot be redeemed for cash.

We reserve the right to expire purchased credits once they are 12 months old. We may enforce this expiration even if credits are not currently expired automatically. This expiration policy is required for accounting purposes. Free or promotional credits may have separate limits or expiration dates.

Purchases are handled by Stripe. Except where required by law, purchases are non-refundable. You may ask us for a refund, but any refund is granted solely at our discretion.

We may change prices at any time without notice. You are responsible for applicable taxes and for all usage charged to your account.

6. Acceptable use

You may use bots and automated tools with the Service, subject to any technical or rate limits we apply. You may not:

• break the law or help another person break the law;
• send malware, spam, fraudulent material, or harmful code;
• attempt to gain unauthorized access to an account, system, or network;
• interfere with, overload, probe, scrape, or disrupt the Service;
• misrepresent your identity or use the Service to violate another person’s rights; or
• bypass safeguards, usage limits, billing, or security controls.

We may apply rate limits and other reasonable technical restrictions.

7. Ownership and provider names

Visibl and its licensors own the Service, including its software, design, branding, and documentation. These terms do not give you ownership of the Service or permission to use our trademarks.

Third-party provider names, trademarks, SDKs, and other materials belong to their respective owners. We reference them to identify supported or compatible services. Unless we expressly say otherwise, those references do not mean that a provider sponsors, endorses, approves, or is affiliated with Allmodels.

8. Changes, suspension, and termination

We may change, suspend, or discontinue any part of the Service at any time. We do not promise that any provider, model, feature, price, or API format will remain available.

You may stop using the Service at any time and may ask us to delete your account. We may suspend or terminate your access if you violate these terms, create risk for the Service or others, fail to pay amounts due, or where we otherwise reasonably decide that suspension or termination is necessary.

9. No warranties

To the fullest extent permitted by law, the Service and all provider results are provided “as is” and “as available.” We disclaim all warranties, whether express, implied, or statutory, including warranties of accuracy, availability, merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee uninterrupted or error-free operation, that results will be accurate or safe, or that any provider will accept or complete a request.

10. Limitation of liability

To the fullest extent permitted by law, Visibl and its directors, officers, employees, affiliates, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, business, or goodwill.

To the fullest extent permitted by law, our total liability for all claims relating to the Service or these terms will not exceed the amount you paid to us during the 12 months before the event giving rise to the claim.

These limits apply regardless of the legal theory and even if we were advised that a loss was possible. They do not limit liability that cannot legally be limited.

11. Indemnity

You will defend, indemnify, and hold harmless Visibl and its directors, officers, employees, affiliates, and suppliers from claims, losses, liabilities, and reasonable legal fees arising from your inputs, your use of results, your violation of these terms, or your violation of another person’s rights or applicable law.

12. Delaware law and disputes

Before filing a claim, you agree to contact us at legal@allmodels.io and make a good-faith effort to resolve the dispute informally.

Delaware law governs these terms, without regard to conflict-of-law rules. Any dispute that cannot be resolved informally must be brought exclusively in the state or federal courts located in Delaware, and each party consents to those courts’ jurisdiction.

13. Changes to these terms

We may update these terms at any time by posting a revised version and changing the effective date. Your continued use of the Service after an update means you accept the revised terms.

14. General

These terms are the entire agreement between you and Visibl about the Service. If any provision is unenforceable, the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver. You may not assign these terms without our written consent. We may assign them as part of a reorganization, financing, merger, acquisition, or sale of assets.
